Do you register as a freelancer (a trabalhador independente, working on the famous green receipts), or do you form your own single-owner company, a Unipessoal Lda?

It sounds like an accounting detail. It’s not. This one decision shapes your tax bill, your monthly costs, your visa file if you’re applying for a D2, and whether you can ever qualify for Portugal’s 20% IFICI tax regime. We sit in on tax consultations about this question every week, so instead of the vague comparison most sites publish, here it is with actual numbers.

The short answer

Neither structure wins outright. First, the freelancer’s first year in Portugal is genuinely one of the cheapest tax years available anywhere in Europe, around 6% all-in in this example, because the reduced coefficient and the social security holiday stack. Second, the steady state is a different animal: from year three the same income costs around a third all-in, and that’s the number to compare against a company, not the honeymoon year.

From our consultations

The steady-state jump is the single most common unpleasant surprise we see. At €100,000 with everything extracted, the two structures land within roughly €1,500 of each other, and the company’s mandatory accountant ate most of its rate advantage. The freelancer’s social security bill is bigger, the company’s dividend layer is bigger, and it nearly washes out.

So when does the company actually pull ahead? Three situations, and they come up in consultations constantly:

When you don’t extract everything. Profit left in the company is taxed once, at roughly 15% to 19%. If you’re reinvesting, saving inside the company, or building value to sell, the company defers the whole personal layer. The freelancer has no equivalent: every euro is personal income the year it’s earned.

When IFICI is on the table. Run the company scenario again with a qualifying structure and a proper salary taxed at IFICI’s 20% flat rate instead of the progressive scale, and the picture changes completely. This is the single biggest structural lever for skilled professionals, and only the company route can reach it.

When liability or growth is real. Contracts with real risk, employees, premises, anything you wouldn’t want attached to your personal assets. The freelancer’s exposure is total; the Lda’s stops at the company.

From our consultations

A client came to us after being advised elsewhere to take the freelancer route as his path to IFICI’s 20% rate. That advice would have locked him out: the standalone freelancer path is blocked in practice, because IFICI eligibility runs through a qualifying entity. He would have moved, registered, triggered residency, and discovered the door shut, with his first-year rate decided and no way back for that year. If IFICI is part of your plan, the structure conversation happens first, not after.

From our consultations

The other misconception we hear almost weekly: “I have an MBA and ten years of experience, surely I qualify for IFICI.” Credentials sit on top of the eligibility test, they’re not the test. The entity, its activity codes, and its export or certification status are the gate. We’ve watched highly qualified people fail on structure and modestly credentialed people qualify because their company was built correctly. The full mechanics, including a worked qualifying case, are in our IFICI guide.

Social security, the detail version

Freelancers pay 21.4%, applied to 70% of relevant service income, declared quarterly, so the effective hit is about 15% of gross. First-time self-employed workers in Portugal get a 12-month exemption, which is the cushion that makes year one so cheap. It ends abruptly in month 13; put the money aside from day one.

With a Unipessoal Lda, you as managing director are enrolled through the company on the salary you set, at roughly 34.75% combined between the company’s share and yours. There’s no first-year holiday for a new manager, which is one of the quiet costs of incorporating early. The flip side: a low salary keeps the social security bill down, which is exactly what the €100,000 example above exploits, at the cost of pushing more income into the dividend layer.

The D2 visa angle

If you’re applying for a D2 visa, both structures can carry an application, but they carry different paperwork.

On the company route, the bank and the consulate want to see substance: your business plan and the company’s commercial registry documents together, not one or the other. That means forming the company before the visa application, not after arrival, and it makes registry timing part of your critical path.

On the freelance route, the file is carried by a service agreement instead, typically a contract of a year or more showing the work you’ll do. No company needed, lighter file, but the contract has to be real and credible.

One sequencing rule applies to both and catches people constantly: registering your activity with Finanças is not required at the consular stage. That step belongs after you arrive, at the residence permit stage. Which brings us to the biggest trap on the freelancer side.

The trap: don’t open your activity before you move

Since July 2025, Portugal’s small-business VAT exemption (the threshold sits at €15,000) only applies to people established in Portugal. Open your freelance activity while you’re still living abroad and you start in the standard VAT regime from day one. As a non-EU resident you’d also need a separate VAT representative, with joint liability and a monthly fee, which is exactly the kind of cost that makes the “light” structure heavy.

From our consultations

This is not theoretical. We’ve had clients arrive at their tax consultation having already registered their activity from abroad, usually on well-meant advice from a forum, and the consultant’s first job was unwinding the VAT position instead of planning anything. The tax representative bundled with a NIF cannot open an activity for you either, and shouldn’t: the sequencing exists for your protection. NIF first, from abroad, on your foreign address. Move. Then open the activity.

The full sequencing is in our freelancer registration guide, and your NIF is the first step either way.

So which one is for you?

We can’t answer that from a webpage, and you should distrust anyone who claims they can. But after sitting across from this decision every week, the patterns are consistent enough to share.

The freelancer route tends to fit people with income up to the mid five figures, low business costs, no employees, no IFICI ambitions, and a preference for simplicity. The first two years of reliefs, the 25% assumed-cost allowance, and near-zero running costs are hard to beat while they apply.

The Unipessoal Lda tends to earn its keep when at least one of these is true: you retain and reinvest profit rather than extracting everything, IFICI is realistically on the table, you need limited liability, you plan to hire, or your D2 case is stronger with a real company behind it. Raw extraction at typical incomes, as the €100,000 example shows, is not by itself a reason to incorporate.

And the two are not a life sentence. Plenty of people start on green receipts, enjoy the cheap first two years, prove the income, and incorporate later once retention, IFICI, or liability makes the company earn its accountant. Going the other way is possible too, just messier.

Want this decision made on your actual numbers?

The examples above use one set of assumptions; yours will differ, and a different salary level, municipality, or income mix can flip the answer. A Unipessoal Lda is a separate single-owner limited company that pays corporate tax on its profit, after which the owner is taxed again on salary or dividends taken out. The company brings limited liability and more options, at the cost of a mandatory accountant and higher admin.

How much tax does a freelancer pay in Portugal?

On the simplified regime, 75% of gross service income enters the progressive IRS scale (12.5% to 48% in 2026), and social security runs at 21.4% on 70% of income. In steady state that lands around a third of gross income all-in at typical earnings. The first two years are much cheaper: the taxable coefficient is halved in year one and reduced by a quarter in year two for a new activity, and first-time self-employed workers get a 12-month social security exemption.

What tax does a Unipessoal Lda pay?

In 2026, corporate tax is 19%, with qualifying small companies paying 15% on the first €50,000 of profit, plus a municipal surcharge of up to 1.5%. Money you take out as salary goes through the personal scale with social security, and dividends are taxed at a flat 28% when distributed, so the corporate rate alone never tells the full story.

Is a company cheaper than being a freelancer in Portugal?

Often not, if you extract all the profit to live on. In our worked example at €100,000 with full extraction, the two structures land within roughly €1,500 of each other once the mandatory accountant is counted. The company pulls ahead when profit is retained in the business, when the structure qualifies for IFICI’s 20% rate, or when limited liability matters.

Do I need an accountant for a Unipessoal Lda?

Yes. A certified accountant (OCC) is legally required for every Portuguese company from the start, commonly €100 to €250 or more per month. Freelancers on the simplified regime are not required to have one.

Which structure is better for a D2 visa?

Both work, with different files. The company route needs the business plan and the commercial registry documents together, with the company formed before the visa application. The freelance route is carried by a credible service agreement, typically a year or longer. Which is stronger depends on your actual business.

Can a freelancer qualify for IFICI in Portugal?

In practice, no. The standalone freelancer path is blocked by the verification process, because IFICI eligibility runs through a qualifying entity. A properly structured Portuguese company can qualify if it meets the activity, export, or certification criteria and your role is on the approved lists. Full details in our IFICI guide.

Can I start as a freelancer and form a company later?

Yes, and it’s a common path: use the cheap first two years on green receipts, prove the income, and incorporate once retention, IFICI, or liability justifies the running costs. Just keep the timing rules in mind, especially not opening your freelance activity before you’re established in Portugal.

Sources

Rates and rules above are based on official guidance for 2026.
