One team, one thread

Your case manager and our Portuguese legal partner collaborate in the same thread on your dashboard. You see every decision and document in one place.

What Happens, and When

5 steps to register your Portuguese company.

Most cases run 2–4 weeks from payment to registered company. Add government express processing at checkout and that drops to around 5 business days.

1
Days 1–3 · Setup and intake
Start in the portal

You pay and get access to your portal. In your intake form, you tell us the company type (LDA or Unipessoal LDA), your share capital amount, and what your business does. We pick the right CAE activity codes unless you’ve already got them. You also give us three name ideas, or pick from the IRN pre-approved list.

2
Days 3–7 · Verification and authorization
Identity check and Power of Attorney

You complete a quick identity check (a selfie and a photo of your ID) through our platform. If you chose a custom company name, we file for the Admissibility Certificate with IRN. Approval typically comes back in 5–7 days. Your Power of Attorney is drafted and sent for e-signature.

3
Days 5–10 · Document preparation
Articles of association, drafted

We draft your articles of association, including your declared share capital. If you added a virtual office, you e-sign a short service agreement directly with the address provider. Then you print the articles, sign by hand, and scan them back to us.

4
Days 10–16 · Registration
Filed with the Commercial Registry

We submit everything to Empresa Online. The Commercial Registry processes your filing. Your company is officially registered, usually within a few business days.

5
Day 17 onwards · Delivery and handoff
Permanent Certificate in your dashboard

Your Certidão Permanente and RCBE land in your dashboard. We introduce you to your certified accountant. If you chose the virtual office, we hand you over to the provider for ongoing mail. Your 15-day window to file the tax start-of-activity declaration starts now.

About your share capital: no rush.

Your share capital doesn’t need to sit in a bank account the day you register. By default we structure your articles so the deposit deadline is the end of the first fiscal year (December 31). That gives you months to open your business bank account and move the funds at your own pace. If you’d prefer a shorter timeline, let us know in the intake form and we’ll adjust the articles.

Compare

DIY vs. Novomove.

Here’s what each step looks like when you do it alone, and what we handle for you.

Without Novomove
With Novomove
Language
Without Novomove
Every portal, form, and legal document is in Portuguese. Mistranslations lead to wrong activity codes, missed deadlines, and weeks of rework.
With Novomove
Everything you see is in English. The Portuguese filings happen behind the scenes.
Portals and logins
Without Novomove
You juggle IRN, Empresa Online, and Finanças. Each has its own account, its own quirks, and most need a Portuguese Digital Mobile Key you don’t have.
With Novomove
One dashboard. One case manager. We handle the portals on your behalf.
Company name approval
Without Novomove
If you want a custom name, IRN’s Admissibility Certificate can take up to 30 days on the standard tier. Urgent is 1–3 days but costs extra, and most DIY guides forget to mention it.
With Novomove
Every plan handles name approval fast. Startup picks from IRN’s pre-approved list with zero wait. Custom and Premium file the urgent Admissibility Certificate for you, typically approved in 5–7 days. Government fee included.
Share capital deposit
Without Novomove
Portugal’s default rule: deposit the share capital within 5 days of registration. Not realistic when opening a business bank account typically takes weeks.
With Novomove
We structure your articles so the capital is deposited by the end of the first fiscal year (December 31). Register now, open the bank account when you’re ready.
Certified accountant
Without Novomove
Finding an English-speaking certified accountant (TOC) who takes foreign clients takes time. Most founders want one for tax filings and VAT compliance.
With Novomove
We introduce you to an English-speaking TOC from our vetted network after registration. Ready when you need them.
Timeline
Without Novomove
Unpredictable. 2–6+ weeks, longer when you hit Portuguese-language snags or portal issues.
With Novomove
2–4 weeks standard. Add government express processing (+€220) and it drops to around 5 business days.

Before you order: you’ll need a Portuguese NIF.

Every shareholder needs a Portuguese tax number (NIF) on file to form a company. If you don’t have one yet, we issue it in 5–7 business days for €79. Order that first, then come back for the formation package.

Get your NIF first
Need it faster? Add express processing at checkout.

The standard turnaround is 2–4 weeks. Portugal’s government offers express company registration that cuts that to around 5 business days once we have your documents. Available on any plan for +€220 at checkout. The fee goes directly to the government, not to us.

Every plan requires a Portuguese registered address. Premium includes a virtual office at Avenida da Liberdade. On Startup or Custom, you can use your own address or add a virtual office — see options below. A business bank account is a separate step, not included in any plan.

LDA vs. Unipessoal LDA.

Naming Your Company

Two paths to your company name.

Every Portuguese company needs a registered name. The plan you pick decides how that name gets chosen and how long the approval takes.

1
Startup Plan

Pick from a pre-approved list.

After checkout, you’ll select three options from the IRN’s official list of names already cleared by Portuguese authorities. No admissibility certificate. No government naming fee. Straight into incorporation.

Browse the IRN pre-approved list
Registered Address

Your company’s address in Portugal.

Portuguese law requires every company to have a registered address (sede social) in Portugal — the place where official correspondence is delivered. You have two options, available across all three plans.

Your own address

Use an address you already have.

€0 no additional cost · works on Startup or Custom

Your personal Portuguese address works, or a family member’s. No extra fees, and no service agreement to sign.

What’s good
  • Zero additional cost
  • No service agreement to sign
  • Faster, simpler setup
Trade-offs
  • Your address becomes public record
  • Official mail goes to your home
  • Less professional for banking and partners
  • Must be updated if you move
FAQ

Questions people ask before ordering.

How do I pick my company name?

On the Startup Plan, you pick three options from the IRN’s official list of pre-approved names right after checkout. On the Custom or Premium Plan, you submit three names you actually want and we file for an Admissibility Certificate on your top choice. Both happen inside the intake form after payment.

Can I check if my custom name is likely to be approved?

Yes. Portugal has a free confusability tool that checks your name against existing companies. A similarity score below 85% means the name has a good shot at approval. It’s a pre-screening tool, not a substitute for the Admissibility Certificate, but it saves you from filing a name that’s clearly already taken.

What’s an Admissibility Certificate?

It’s the official IRN document confirming your chosen company name is available and approved for use. Required for custom names, not for pre-approved ones. The €150 government fee is already included in the Custom and Premium Plan totals. Results typically come back in 5–7 days.

What kind of company can I set up?

LDA (Limited Liability Company) and Unipessoal LDA (single-member LDA). These are the most common structures for founders, freelancers, and remote professionals in Portugal.

Do I need to pick my own CAE activity codes?

No, unless you want to. Based on your business description in the intake form, we prepare the right CAE codes for registration automatically. If you already know which specific codes you want, you can provide them instead. If you’re unsure — which is most founders — that’s a good topic for a session with our Portuguese tax consultant.

Do I need a NIF before ordering?

Yes. Every shareholder needs a Portuguese NIF on file to form a company. If you don’t have one yet, we issue it in 5–7 business days for €79. You’ll order the NIF first, then the company formation package once it’s in your hands.

Why do I need to verify my identity?

Once your intake form is complete, we run a quick identity check to confirm you are who you say you are. It’s a two-minute step: a selfie and a photo of your ID. This is a standard fraud-prevention measure before we start a regulated legal process on your behalf.

What do I need to sign?

Up to three documents. You e-sign the Power of Attorney so our Portuguese partners can act on your behalf. If you’re on the Premium Plan (or added the virtual office), you also e-sign a short service agreement with our address provider. The articles of association are drafted by our legal partners — you print, sign by hand, and scan them back to us.

Do I need to travel to Portugal?

No travel required. The whole process coordinates through our platform, with one exception: the articles of association need to be signed by hand, scanned, and sent back to us. Everything else is e-signed.

How long does it take?

Usually 2–4 weeks from the moment we have all your documents. Add government express processing at checkout (+€220) and the typical turnaround drops to around 5 business days. The express fee goes directly to the government, not to us.

What documents do I receive at the end?

Your Certidão Permanente (Permanent Certificate) and your RCBE (Beneficial Owner Registry). These are the official registration documents for your Portuguese company — see everything that’s included in each plan.

Is a business bank account included?

No. Opening a corporate bank account is a separate step. Once your company is formed, we can refer you to partners who help with corporate banking.

When do I need to deposit my share capital?

Not when you register. By default, your articles declare that the share capital will be deposited by the end of the first fiscal year (December 31). That gives you months to open a business bank account and transfer the funds at your own pace.

Do I need a certified accountant from day one?

Not necessarily. Small LDAs that qualify as microenterprises (typically under €200,000 turnover and fewer than 10 employees) can handle basic accounting themselves in year one. Many founders choose to work with a TOC for VAT compliance and tax filings from the start. If you’re unsure which path fits, book a 45-minute session with our Portuguese accountant. We introduce you to an English-speaking TOC from our network so you have someone ready when you need them.

Is Novomove a law firm?

No. Novomove is a technology platform that coordinates your company formation. The regulated legal work is handled by licensed Portuguese lawyers and accountants in our partner network.
